GENERAL UNDERSTANDING:
You must purchase any of the images you see on this site. (these images have been reduced in size for the artists protection)
TYPES OF PURCHASE
1. Non-Exclusive - After licensing photo(s) to you, I can still license/sell photo(s) to anyone who requests it.
2. Exclusive - After licensing photo(s) to you, I can never license the photo(s) to anyone again.
3. Single Use - used only on one occasion, one source. For Instance - 1 book, magazine, flyer, etc...
4. Multiple Use - For instance - two different books, magazines, flyers, etc...
LICENSE AGREEMENT EXPRESSED AND IMPLIED:
When you purchase any of these images from our website, it automatically creates a binding licensing agreement between you and "Wild Images by Pam". Your confirmed order is that binding authority.
1. License terms:
1.1 Covered Materials
1.1.1 The photographs in any form delivered to Licensee by Licensor, whether via CD-ROM, by download from Licensor's website or otherwise (collectively, the "Photographs") are licensed, not sold, to Licensee by Licensor for use pursuant to the terms of this agreement.
1.1.2 Licensee may own the media on which the Photographs are recorded, but Licensor, for itself or on behalf of its contributors, retains ownership of the Photographs.
1.1.3 Any reference to "Photographs" shall be to each individual item with the Photographs and also to the Photographs taken as a whole.
1.2 Permitted Uses and Rights:
1.2.1 Licensee has the non-exclusive, non-transferable, non-sublicensable right to copy, reproduce, transmit and display the Photographs many times in any media for the following purposes:
a) Advertising and promotional materials
b) Web Page Design
c) Publications
NOTE: Any Exclusive Rights are dealt with under separate agreement
1.3 Restrictions:
1.3.1 Licensee may not sublicense, sell, assign, convey or transfer any rights under this impied agreement but Licensee may sell or license derivative works incorporating the Photographs in accordance with the Permitted Uses. Licensee may not sell, license or distribute its works in such a way that Licensee's customer can extract or access the Photograhs as a stand alone file.
1.3.2 Photograhs shall not be incorporated into a logo, trademark, or service mark.
1.3.3 Licensee may not post the Photographs online in a downloadable format.
1.3.4 The Photographs may not be used in a pornographic, defamatory, libelous, or otherwise illegal manner, whether directly or in content with other materials.
1.3.5 Licensee must retain the copyright symbol, the name of "Wild Images by Pam" Photo Stock , as part of the electronic file and as otherwise contained on the original Photographs.
1.3.6 Licensor grants no rights and makes no warranties with regard to the use of names, trademarks, tradedress, registered, unregistered or copyrighted designs or works of art or architecture depicted in any Licensed Material, and Licensee must satisfy itself that all necessary rights or consents regarding any of the above, as may be required for reproduction, have been obtained.
2. Indemnity:
2.1 Licensee agrees to indemnify and hold "Wild Images by Pam Photo Stock" harmless against all claims arising out of any breach of this implied agreement.
3. Entire Contract:
3.1 This contract contains all the terms of the license agreement and no terms or conditions may be added or deleted unless made in writing. This contract is is automatically implied and binding to the Licensee when Licensee purchases any Photographs of Licensor through this website: www.shutterbugpam.com and the sales have been completed.
